An Affidavit of Lost Corporate Document can be used by a Corporation to verify the loss of a corporate document and the replacement of that document with a new document. This Affidavit of Lost Corporate Document is useful when a corporation misplaces it's corporate minute books, stock certificates, or other important corporate document (such as the bylaws). This document can be prepared by the president, stock or shareholder or other corporate offer for verification and inclusion in the Corporations documents. If the missing document is a binding contract or document which required the approval of the members of the Corporation, the Affidavit should be prepared for signing by the individuals who signed the original document.
